All "N-registered" aircraft, United States registered through the Federal
Aviation Administration (FAA)
requires ownership by US citizens or, if a corporation, then two thirds
of the Board of Directors must be
UScitizens and 75% of the
stock must be held by US citizens. The FAA allows "N" registrations to
corporations not meeting these requirements through a Voting Trust
arrangement.

We will form a
aviation service corporation, which will own the
aircraft. We will provide a Nominee Director,
who will also act as sole officer of the corporation.
We will provide a Voting Trustee to hold the stock on

resident person or corporation) of the corporation and
aircraft. The Voting Trustee is authorized through a Voting Trust
Agreement.
